Terms of Service

The agreement

These terms are an agreement between you and AI Profit Garden, LLC, a Nevada limited liability company. Praise Patch is a product of AI Profit Garden, LLC. When these terms say "we" or "us," they mean AI Profit Garden, LLC.

You accept these terms when you check the box at checkout agreeing to the Praise Patch Terms of Service and Privacy Policy, and again each time you use Praise Patch. Our Privacy Policy is part of these terms. If you do not agree, do not use Praise Patch, and contact us so that we can close your account.

All sales are final. Praise Patch is delivered digitally and your access begins the moment your purchase is complete, so we do not offer refunds.

Who can use Praise Patch

You must be at least 18 years old and use Praise Patch for business purposes. Do not request or publish reviews from anyone under 18.

What you are buying

Your purchase gives you a limited, non-exclusive, non-transferable license, revocable if you breach these terms, to use Praise Patch for one brand, or for additional brands if you purchase the Unlimited Brands upgrade. Each account has a single login; multi-user access is not offered. Your license is for use in your own business. It may not be resold, shared, or transferred to anyone else, and no reseller rights are included.

Your one-time purchase includes one brand (one business with its own review page, questions, and colors), up to 100 published reviews, and recordings of up to three minutes each. You can add capacity with Review Packs and add brands with the Unlimited Brands upgrade, each sold separately. If you reach your review limit, everything you have already collected stays live and exportable; only new collection pauses until you add capacity.

What you pay

Praise Patch has three parts.

• Your purchase. A one-time payment for the software itself, at the price shown at checkout when you buy.
• Review Packs. Optional one-time payments inside the app that add review capacity. A Review Pack is not a subscription.
• Subscription upgrades. Optional monthly subscriptions inside the app, described under "Optional upgrades and subscriptions" below.

Buying Praise Patch never enrolls you in a subscription. You only subscribe if you choose an upgrade.

What lifetime means, plainly

Lifetime means the lifetime of the product, not of any person. As long as Praise Patch operates, your access continues without further payment, within the limits of your purchase.

If we ever have to stop operating it, we will give you at least 90 days notice and a way to export everything you have collected. We are not going to pretend a small business can promise eternity, and you should not accept a promise like that from anybody.

Features that are clearly marked as separate upgrades are not included in your purchase.

What you may not do

• Resell, sublicense, or rent Praise Patch itself as though it were yours to sell.
• Use one purchase for more than one brand, unless you have the Unlimited Brands upgrade.
• Share your login with anybody else.
• Ask for reviews from people who are not your actual customers, or offer anything of value in exchange for a positive review. Both are prohibited under federal rules governing consumer reviews, and both defeat the purpose of this product.
• Write, invent, or alter a review, or ask anybody else to.
• Present your approved reviews as all or most of the reviews you received, or as representative of customer opinion, if you declined reviews because they were negative.
• Request a new take in order to change a reviewer's opinion.
• Publish reviews from your employees, owners, or their relatives without clearly disclosing the relationship.
• Upload anything unlawful, or anything you do not have the right to upload.
• Try to break, probe, or overload the service, or reach data that is not yours.
• Copy, scrape, or reverse engineer any part of Praise Patch, or use a bot or script to pull data out of it.
• Pretend to be someone else, or misrepresent your connection to a business you do not run.
• Upload or run anything meant to disrupt Praise Patch, damage it, or get into an account that is not yours, including malware.

Fabricated reviews are the single fastest way to lose your account here. We will close it, and you will not get a refund.

Reporting a concern

If you come across content on Praise Patch that raises a concern, whether it is abusive, unlawful, impersonates someone, or should not be there for any other reason, email hello@praisepatch.com. We aim to acknowledge reports within one business day.

Praise Patch is a tool for collecting and sharing business reviews. It is not a crisis or emergency service, and it does not monitor reviews for anyone's safety. If someone is in immediate danger, contact local emergency services.

Copyright complaints

We respect copyright, and we expect you to. If you believe something on Praise Patch infringes your copyright, send a notice to our copyright agent at hello@praisepatch.com, or by mail to Copyright Agent, AI Profit Garden, LLC, 9107 W. Russell Rd, Las Vegas, NV 89148. Please include:

• your physical or electronic signature, as the copyright owner or someone authorized to act for the owner;
• a description of the copyrighted work you believe was infringed;
• a description of the material you want removed and where it appears, such as a link to the review page;
• your name, address, telephone number, and email address;
• a statement that you believe in good faith that the use is not authorized by the copyright owner, its agent, or the law; and
• a statement that the information in your notice is accurate and, under penalty of perjury, that you are the owner or authorized to act for the owner.

When we receive a complete notice, we will remove or disable the material and let the account owner know. If you believe we removed your material by mistake, you may send us a counter notice that identifies the material, states under penalty of perjury that you believe it was removed by mistake or misidentification, gives your name, address, and telephone number, consents to the jurisdiction of the federal court for your district (or, if you are outside the United States, any district where we may be found), and includes your signature. We will pass it to the person who sent the original notice, and we may restore the material unless they tell us within 10 to 14 business days that they have filed a court action.

We will close the accounts of people who repeatedly infringe the copyrights of others.

Who owns what

Your customers own what they submit. When they leave a review, they grant you permission to use it as described on the consent screen they accept. You are responsible for using reviews only within that permission and for honoring a reviewer's request to remove their review.

Before a review is sent, the reviewer checks a consent box. The consent wording and the time they agreed are stored with each review.

You own your logo, your colors, and your customer list. We claim no ownership of any of it, and we do not use it to promote ourselves without asking you first.

We own Praise Patch. The software, the name, the design, and the marks are ours.

You grant us a limited license to host, store, process, back up, and display your content solely to provide the service to you.

Our Data Processing Addendum is incorporated into these terms and applies automatically to every customer to whom the data protection laws it covers apply, such as the EU or UK General Data Protection Regulation, from the date you first use Praise Patch or the date the Addendum is posted, whichever is later. It sets out how we handle your customers' personal data on your behalf. If you need a signed copy, you may request one at hello@praisepatch.com.

How we handle your customers' data

Whether or not the Data Processing Addendum applies to you, we make these promises to every customer about the personal data of the people you ask for reviews.

• We keep it confidential. Only the people and providers who help us run Praise Patch can reach it, and only to run the service. That includes the AI-assisted development tools we use to build and troubleshoot the service, which may access stored data when used for that purpose.
• We process it only on your instructions. Your instructions are these terms, your settings, and the actions you take in your account, except where the law requires otherwise. One standing instruction: if a reviewer asks us to remove their review and you have not acted within 10 business days of our forwarding the request to you, we will remove it.
• We tell you about a breach. If we confirm a breach affecting your data, we will tell you without undue delay and in any case within 72 hours.
• We delete it when you leave. When you close your account, or send us a verified request, we delete your data within 30 days. We keep records of reviewer consent for three years to document the permission under which a review was published, and purchase records as long as tax and accounting rules require. Backups are retained for seven days and are not restored after deletion.

We do not use AI to analyze or make decisions about your customers' data.

You cannot edit a review, and that is deliberate

A review stays private until you approve it. You can approve a review, decline it, or ask for another take. Once a review is approved, you can take it off your public page, put it back, or delete it. You cannot change what somebody said. This is not a missing feature. It is the reason a Praise Patch review is worth anything.

Ask for another take when something went wrong with the recording, such as bad sound or a dropped connection. Never ask a reviewer to replace a negative review.

Review Origin Records

Praise Patch creates a Review Origin Record for each review, showing what Praise Patch captured when the review was submitted. A Review Origin Record is provided for your recordkeeping only. We do not guarantee that it will be accepted by any court, regulator or other party, that it will prevent or resolve any claim, or that your use of reviews complies with any law. If a legal question or claim arises involving your reviews, consult your own attorney.

Your responsibilities

Your login belongs to you alone. Do not share your password, and do not let anybody else sign in as you. Everything done under your login is treated as done by you, including approving a review. Sharing one login among several people is a breach of these terms and we may suspend an account that does it.

You are the sender of review requests and reminders sent through Praise Patch. You agree to comply with the CAN-SPAM Act, the Telephone Consumer Protection Act, and similar laws, and never to upload purchased or scraped contact lists. Every review request email carries a valid postal address in its footer. With your Praise Patch purchase, that is the Praise Patch mailing address. If you buy Your Brand Only, you agree to provide your business's valid postal address, and it appears in the footer in place of ours.

• Have the right to contact the customers you upload.
• Follow the advertising and endorsement rules that apply to your business, including disclosing any material connection between you and a reviewer.
• Keep your own copy of anything you cannot afford to lose.

Optional upgrades and subscriptions

Two upgrades are sold separately inside the app as monthly subscriptions, billed through Stripe:

• Unlimited Brands lets you run more than the one brand your purchase includes.
• Your Brand Only puts your logo and brand color on your review request emails, shows your business name and mailing address in the email footer in place of ours, and gives you Share Studio images with no Praise Patch line. No review request emails can be sent until your logo is uploaded and your business mailing address is entered, because your logo and address appear on every email.

If you buy one, it renews each month at the price shown when you subscribe, until you cancel. You can cancel at any time from inside your account, and cancellation takes effect at the end of the month you have already paid for. We do not prorate partial months.

If we change the price of a subscription you already have, we will email you at least 30 days before the new price applies, and you may cancel before then.

If a subscription ends, nothing you created is deleted. Anything beyond what your purchase includes is set aside rather than removed, and it returns intact if you subscribe again.

Changes to pricing and plans

We may change our prices, plans, and what each includes at any time for new customers. We will not reduce the limits or remove a core feature included in your purchase, except where required by law, for security reasons, or because a service provider discontinues something we rely on. In that case, we will provide a reasonably equivalent replacement where possible and notify you in advance.

Refunds

All sales are final. Because Praise Patch is a digital product you can use the moment your purchase is complete, your one-time purchase and any Review Packs are non-refundable. Subscription upgrades can be canceled at any time as described above, and months already paid are not refunded. Accounts closed for fabricated reviews are not refunded.

Where these terms or our Data Processing Addendum promise a refund of the unused portion, the unused portion means this. For a subscription, it is the rest of the month you have already paid for. For your one-time purchase, it is a pro rata share of the price you paid, based on the whole months remaining in the 36 months after your purchase date. After 36 months, no unused portion remains.

Availability

We work to keep Praise Patch running and we will not promise perfection. There will be maintenance, and occasionally something will break. We do not offer a service level guarantee, and we are not liable for what a period of downtime costs you.

The providers we rely on

Praise Patch runs on services we do not own:

• Supabase for the database, the stored video and audio files, and sign in.
• Lovable for hosting the application and website analytics, and for AI-assisted development tools that may access stored data when used to build and troubleshoot the service.
• Cloudflare for delivering and protecting the website.
• Resend for sending email.
• Beacons for checkout when you buy Praise Patch.
• Stripe for payments for upgrades and Review Packs inside the app.

If one of them goes down, changes what it offers, or ends its relationship with us, Praise Patch may be affected, and we are not liable for what that costs you. We choose these providers carefully, and we will tell you if a change with one of them affects your account.

What we don't promise

Praise Patch helps you collect real reviews and put them somewhere your customers can see them. It does not promise you will get more reviews, more customers, or more revenue because you used it. What happens next depends on your customers, your outreach, and plenty we do not control. We are not liable for the sales, growth, or results you do or do not see.

Ending it

You can stop using Praise Patch whenever you like, and you can ask us to delete your account and everything in it. We may suspend or close an account that breaks these terms, and where we reasonably can, we will tell you why and give you a chance to fix it first.

The legal parts, said as plainly as they can be

These limits do not limit your obligations under "If something you do gets us named in a claim" below, and nothing in these terms limits any data subject's rights under the Standard Contractual Clauses in our Data Processing Addendum.

Some places do not allow those limits. Where that is true, they apply only as far as they are allowed.

If something you do gets us named in a claim

You agree to cover our reasonable costs, damages, and attorneys' fees if somebody brings a claim against us, or a regulator opens an inquiry, because of:

• what you uploaded, or how you used Praise Patch;
• your breach of these terms;
• a reviewer's claim about your use of their review, including their rights of publicity, likeness, and voice;
• your review practices, including a regulatory inquiry into them; or
• messages sent through Praise Patch at your direction.

We will notify you by email promptly after we learn of the claim. We control the defense, and you agree to cooperate with us and give us the information we reasonably ask for. You may not settle a claim covered by this section without our written consent.

Nothing here is professional advice

Praise Patch is software. Using it does not create a professional or advisory relationship, and nothing in the product or its guides is legal, tax, or financial advice.

Governing law

These terms are governed by the laws of the State of Nevada, without regard to its conflict of laws rules. Any dispute will be brought in the state or federal courts located in Clark County, Nevada, and both of us agree to that.

Changes to these terms

If we change these terms we will update the date at the top. If a change materially reduces what you get, we will email you before it takes effect, and if you do not accept it you may ask for a refund of the unused portion, as defined under "Refunds."

The rest of the fine print

• Entire agreement. These terms, our Privacy Policy, and, where it applies, our Data Processing Addendum are the whole agreement between you and us about Praise Patch.
• Order of precedence. The Data Processing Addendum governs how we process personal data on your behalf. These terms govern everything else.
• Assignment. We may assign these terms, including as part of a merger or a sale of our business or assets. You may not assign them.
• Survival. The sections on who owns what, the legal parts, claims against us, and governing law continue after these terms end, along with anything else that by its nature should.
• Notices. You agree that we may send you notices and other communications by email to the address on your account.
• Severability. If any part of these terms cannot be enforced, the rest still applies.
• No waiver. If we do not enforce a part of these terms right away, we have not given up the right to enforce it later.
• Events beyond our control. We are not responsible for delays or failures caused by events beyond our reasonable control, such as outages at our providers or across the internet, natural disasters, or government action.
